Terms of Use

These terms of use (the “Terms of Use”) govern your access to the www.imaginhub.com website (“Imaginghub”) and the use of the forums and services (the “Services”) made available through the Site which is owned and operated by Basler AG (“us”, “our” or “we”).  

By accessing or using the Services, you are accepting the Terms and Conditions (on behalf of yourself or the entity that your represent) and you warrant that you are authorized to enter into this agreement (on behalf of yourself or the entity that your represent).

You must not use Imaginghub if you are not of legal age in your country to create binding financial and contractual obligations and commitments and to assume any liability that you expose yourself to through your use of Imaginghub.

1. Services of Imaginghub

Imaginghub provides you with networking features and the possibility to create projects on vision topics. Imaginghub facilitates you to upload and share data, text and other materials (the “Content”).

We reserve the right, to modify, suspend or discontinue the Services or any part thereof at any time.

2. Registration

You will need to register and create an account (the “Account”) to be able to use certain Services on Imaginghub. There is no claimable right of any person to register at Imaginghub nor is there a claimable right to stay registered at Imaginhub. We may suspend or terminate your Account in accordance with section 7.

You represent that all required registration information you submit is truthful and accurate. The use of pseudonyms is not allowed and entitles us to terminate the agreement based on these Terms of Use for good cause according to section 7.

3. License of Content

You are entirely responsible for the Content you share on Imaginhub. The content provided on Imaginghub is protected by international laws and agreements regarding intellectual property.

You hereby grant us an irrevocable, non-exclusive, sub-licensable, free, world-wide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works and use the Content solely for the purpose of including the Content in the Services and social media platforms as listed in the Privacy Policy.

If you share Content on Imaginghub, you agree that other users can view, modify and distribute such Content and any resulting products can be sold according to the license terms attached to the Content provided by you. You will not be entitled to any royalties from other users for their incorporation of your Content. You hereby warrant that you have the right to grant us the above described license. If you wish to use the Content of a third user that publishes Content on Imaginghub, the use will be subject to the license terms on which that third user makes the Content available through Imaginghub. Except from the Content that you made available in the public sections of the Services, your Content in your member account is not generally visible to us. We can access your Content when it is legally required as described in our Privacy Policy.

We have the right in our sole discretion to refuse or remove any Content that is made available on Imaginghub.

4. Duties of user

You must not

• fulfil the elements of a crime or an administrative offence,
• make untrue statements, insult, defame, or discredit any other person or entity,
• publish racist or pornographic content,
• use pictures or other media without permission of the author,
• infringe intellectual property rights or copyrights or other property rights,
• publish content from Imaginghub or other users, unless publication is designated or expressly permitted,
• allow other persons to use your access data or store your access data in a way that is not confidential and secured from third party's access,
• upload Content with viruses which could damage software.

5. Data Protection

The storage and processing of your personal data is regulated in our Privacy Policy which is part of this agreement.

6. Liability

We are liable, as far as liability is compulsory by law, as in particular for intent, gross negligence, breach of substantial contractual duties, liability as stated in the German Product Liability Act (Produkthaftungsgesetz), the underwriting of a guarantee of quality, the lack of guaranteed qualities or fraudulent non-disclosure as well as for injuries to life, body or health. Substantial contractual duties are such duties, the fulfilment of which is essential to perform the contract at all and the adherence of which you can usually rely on. In the event of ordinary negligent breach of substantial contractual duties, our liability is however limited to the typical contractual foreseeable damages.

In all other cases liability is excluded. This applies especially to defects as to quality or title of the Services, in particular regarding their accuracy, correctness, freedom from third-party rights, completeness and applicability.

We exclude, as far as lawfully permitted, every liability for disturbance at the performance of the Services in terms of this agreement, as far as this disturbance is based upon the unavailability or reduced availability of the Internet.

We cannot guarantee that the Content of Imaginghub is virus free. Before downloading information and documentation, you shall for your own protection use adequate security devices and virus scanners. You shall take all measures to ensure security and use a virus scanner to ensure that no viruses will be uploaded on Imaginghub.

7. Termination

Both parties are entitled to terminate this agreement in writing with one week notice. The right of each party to terminate this agreement for good cause remains unaffected.

We are entitled to verify the identity of the terminating user, e.g. by requesting his registered email address.

8. Amendment to the Terms of Use

We are at all times entitled to amend the Terms and Conditions.

Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms and Conditions.

If we make changes to the Terms and Conditions, we will notify you by email or in another appropriate form. The amended Terms and Conditions come into force 4 (four) weeks after the reception of the notice by you. This shall be pointed out in the notice we sent.

If you disagree with the amended Terms and Condition, you may terminate the agreement according to section 7.

9. Miscellaneous

If you access Imaginghub from outside Germany, you are responsible for the compliance with the respective relevant provisions according to the respective law. The access to Services of Imaginghub from countries in which the access is contrary to the law is not permitted.

The German Law, excluding the UN Sales Convention shall apply.

The place of jurisdiction is Hamburg, Germany.

Should one or more provisions of these Terms of Use be or become completely or partially invalid or unenforceable, the validity of the remaining provisions all not be affected hereby. The invalid or unenforceable provision is to be replaced by a relevant valid provision that is closest to the commercial purpose of the invalid or unenforceable provision.
